Terms of Service

1. Agreement to Terms

By downloading, installing, accessing, or using JustVoice (the “Software”), the JustVoice website at justvoice.ai (the “Website”), or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services.

In these Terms:

  • “Software” means the JustVoice desktop application for macOS.
  • “Services” means the Software, the Website, and all related cloud features, APIs, and support.
  • “Content” means any text, transcriptions, notes, dictionary entries, snippets, or other data you create, upload, or generate using the Services.
  • “We,” “us,” “our” means JustVoice, operating as JustVoice.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of Service

JustVoice is a voice-to-text transcription application for macOS that converts spoken words into written text. The Software offers local on-device processing using GPU-accelerated speech recognition and optional cloud-enhanced features depending on your subscription plan. Features include real-time transcription, AI-powered text cleanup, custom dictionary, text snippets, voice commands, and transcription notes.

4. Account Terms

  • You must provide accurate, complete, and current information when creating your account.
  • You are responsible for maintaining the security of your account credentials. Do not share your password with third parties.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You must notify us immediately at justvoiceapp@gmail.com if you become aware of any unauthorized access to your account.
  • We reserve the right to suspend or disable accounts that violate these Terms.

5. Subscription Plans & Billing

5.1 Plans

  • Free: Local transcription with 5,000 words/month, rule-based text processing, sound effects, 10 snippets, 20 dictionary entries, and 7 days of note history.
  • Plus ($8/month): 50,000 words/month with local AI cleanup, voice commands, all Whisper models, unlimited dictionary and snippets, cloud sync, and 90 days of note history.
  • Pro ($14/month): Unlimited words with all Plus features, plus cloud transcription (Deepgram), cloud AI cleanup, code mode, app profiles, and unlimited note history.

5.2 Auto-Renewal

PAID SUBSCRIPTIONS AUTOMATICALLY RENEW ON A MONTHLY BASIS UNTIL CANCELED. You will be charged the applicable subscription fee at the beginning of each billing period. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

5.3 Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period after the notice period. Your continued subscription after a price change constitutes acceptance of the new price.

5.4 Failed Payments

If a payment fails, we will attempt to process the charge again. If payment cannot be collected after reasonable attempts, your subscription may be downgraded to the Free plan. We will notify you by email before any downgrade takes effect.

5.5 Refund Policy

Refunds are handled on a case-by-case basis. If you are unsatisfied with the Services, contact us at justvoiceapp@gmail.com within 14 days of your most recent charge, and we will work to resolve the issue or provide a refund.

6. Usage Limits & Metering

Word limits are measured by counting the words in each completed transcription using standard whitespace tokenization. Your word counter resets at the beginning of each monthly billing period. Unused words do not roll over to the next period.

If you reach your plan's word limit during a billing period, transcription will be paused until the counter resets or you upgrade to a higher plan. We will notify you when you are approaching your limit.

7. Cancellation & Downgrade

  • You may cancel your subscription at any time from your account settings or by contacting justvoiceapp@gmail.com.
  • Upon cancellation, you will retain access to your paid plan features through the end of your current billing period.
  • After your billing period ends, your account will be downgraded to the Free plan. Features exclusive to paid plans will become unavailable.
  • Cloud-synced data will be retained for 30 days after downgrade. After 30 days, cloud-synced data may be permanently deleted. Data stored locally on your device is not affected.
  • Account deletion is permanent and irreversible. All server-side data associated with your account will be permanently removed within 30 days.

8. User Content & License

You own your Content. JustVoice claims no ownership over any transcriptions, notes, dictionary entries, snippets, or other Content you create using the Services.

By using the Services, you grant us a limited, non-exclusive, royalty-free license to process your Content solely for the purpose of providing the Services to you (e.g., performing transcription, AI cleanup, cloud sync). This license terminates when you delete your Content or close your account.

We do not use your Content to train AI models, for advertising purposes, or for any purpose other than providing the Services.

9. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law.
  • Use the Services for any unlawful purpose or to transcribe content that violates applicable law.
  • Attempt to circumvent license validation, usage limits, or metering.
  • Redistribute, sublicense, or resell the Software or access to the Services without written permission.
  • Use automated scripts, bots, or other means to generate artificial usage or abuse the Services.
  • Record or transcribe conversations without obtaining all required consent from participants (see Section 10).
  • Interfere with or disrupt the integrity or performance of the Services.

10. Recording Consent

YOU ARE SOLELY RESPONSIBLE FOR COMPLYING WITH ALL APPLICABLE RECORDING AND WIRETAPPING LAWS.

Many jurisdictions (including but not limited to California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania, and Washington in the United States, as well as various countries under GDPR and other frameworks) require all-party consent before recording a conversation. You are solely responsible for:

  • Determining which recording consent laws apply to your situation.
  • Obtaining all required consent from all parties before using JustVoice to record or transcribe any conversation.
  • Complying with all applicable local, state, federal, and international recording and wiretapping laws.

JustVoice provides no legal advice regarding recording consent. We strongly recommend consulting a qualified attorney if you are unsure about the recording laws in your jurisdiction.

11. Intellectual Property

The Software, Website, and all associated trademarks, logos, visual design, and content are the property of JustVoice or its licensors and are protected by copyright, trademark, and other intellectual property laws.

JustVoice incorporates open-source software, including OpenAI's Whisper (MIT License) and other open-source libraries. These components are used in accordance with their respective licenses, which are available within the Software. Your use of these open-source components is governed by their respective license terms.

12. Third-Party Services

The Services integrate with third-party providers, each governed by their own terms of service and privacy policies:

  • Deepgram: Cloud speech-to-text (Pro plan). Subject to Deepgram's Terms.
  • Stripe: Payment processing. Subject to Stripe's Terms.
  • Supabase: Authentication and cloud sync. Subject to Supabase's Terms.
  • Anthropic / OpenAI: Cloud AI cleanup (when configured by user). Subject to their respective terms.

If you provide your own API keys for third-party services, your use of those services is governed by your agreement with that provider. We are not responsible for the practices of third-party services.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using JustVoice, you acknowledge and agree to the practices described in our Privacy Policy.

14. AI Accuracy Disclaimers

JustVoice uses machine learning models for speech-to-text transcription and text processing. You acknowledge and agree that:

  • AI-generated transcriptions and text processing may contain errors, inaccuracies, omissions, or hallucinations.
  • Transcription accuracy varies based on audio quality, background noise, accents, specialized vocabulary, and other factors.
  • AI cleanup may alter the meaning of transcribed text.
  • You are solely responsible for reviewing and verifying all output before relying on it for any purpose.
  • We make no warranty that transcriptions or AI processing will be accurate, complete, or fit for any particular purpose.

15. Professional Use Disclaimers

15.1 Medical Professionals

JustVoice is not a medical device and is not cleared, approved, or certified by the FDA or any other regulatory body. The Software is not designed for clinical documentation, medical record creation, or any purpose where transcription accuracy could affect patient safety. JustVoice is not HIPAA-compliant, and we do not offer Business Associate Agreements (BAAs). If you use JustVoice in a healthcare context, you do so at your own risk and are solely responsible for ensuring compliance with all applicable regulations.

15.2 Legal Professionals

JustVoice does not produce a verbatim record and should not be relied upon as an official transcript for legal proceedings, depositions, court reporting, or any context requiring certified or verbatim transcription. If you use JustVoice in a legal context, you must independently verify all output against the original audio or source material.

15.3 General Professional Use

For all professional use cases, you should review and verify all transcriptions and AI-processed text before relying on them for business decisions, communications, or any purpose where accuracy is material. JustVoice is a productivity tool, not a replacement for professional judgment.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) TRANSCRIPTIONS OR AI PROCESSING WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) THE SERVICES WILL MEET YOUR REQUIREMENTS; (D) ANY DEFECTS WILL BE CORRECTED; OR (E) THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTY REGARDING THE ACCURACY OF SPEECH-TO-TEXT TRANSCRIPTION, AI TEXT PROCESSING, OR ANY OTHER AI-GENERATED OUTPUT. YOU ACKNOWLEDGE THAT AI MODELS MAY PRODUCE ERRORS, HALLUCINATIONS, OR INACCURATE RESULTS, AND YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AND RELIANCE ON SUCH OUTPUT.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights under applicable consumer protection law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUSTVOICE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY ERRORS, INACCURACIES, OR OMISSIONS IN TRANSCRIPTIONS OR AI-PROCESSED TEXT; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (D) ANY THIRD-PARTY CONDUCT ON THE SERVICES; OR (E) ANY OTHER MATTER RELATING TO THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for death, personal injury, or fraud caused by our negligence, or any liability that cannot be excluded under applicable consumer protection law.

18. Indemnification

You agree to indemnify, defend, and hold harmless JustVoice, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services in violation of these Terms.
  • Your Content or your use of transcriptions.
  • Your failure to obtain required recording or wiretapping consent.
  • Your violation of any applicable law or regulation.
  • Your use of the Services in a manner that infringes the rights of any third party.

This indemnification obligation will survive the termination of these Terms and your use of the Services.

19. Termination

We reserve the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if you violate these Terms. We will make reasonable efforts to notify you before or promptly after any suspension or termination.

You may terminate your account at any time by canceling your subscription and requesting account deletion. Upon termination:

  • Your right to access paid features ceases immediately (or at the end of your billing period, if you cancel without cause).
  • Cloud-synced data will be retained for 30 days, then permanently deleted.
  • Data stored locally on your device is not affected by account termination.

Survival. The following sections survive termination: User Content & License (Section 8), Recording Consent (Section 10), Intellectual Property (Section 11), AI Accuracy Disclaimers (Section 14), Professional Use Disclaimers (Section 15), Disclaimer of Warranties (Section 16), Limitation of Liability (Section 17), Indemnification (Section 18), Export Control (Section 20), Governing Law (Section 21), Dispute Resolution (Section 22), and General Provisions (Section 24).

20. Export Control

The Software may be subject to United States export control laws and regulations. You agree not to export, re-export, or transfer the Software in violation of any applicable export laws, including without limitation the U.S. Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC).

You represent and warrant that you are not: (a) located in a country subject to a U.S. government embargo; (b) listed on any U.S. government list of prohibited or restricted parties; or (c) using the Software for any purpose prohibited by U.S. export laws.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 22, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

22. Dispute Resolution

22.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at justvoiceapp@gmail.com and attempt to resolve the dispute informally for at least 30 days.

22.2 Binding Arbitration

If a dispute cannot be resolved informally, you and JustVoice agree to resolve it through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in New York County, New York, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

22.3 Class Action Waiver

YOU AND JUSTVOICE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

22.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

23. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Provide at least 30 days' advance notice before the changes take effect.
  • Notify you via email (if you have an account) and through the Website or in-app notification.
  • Update the “Last updated” date at the top of this page.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Services and cancel your subscription.

24. General Provisions

  • Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemic, internet or power outages, or labor disputes.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and JustVoice regarding the Services and supersede all prior agreements and understandings.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
  • Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Notices. We may send you notices via email to the address associated with your account. You may send notices to us at justvoiceapp@gmail.com.
